• AI Agent Building: Custom intelligent automation agents for customer service, workflows, and operations
• Custom AI Solutions: Proprietary AI models for forecasting, personalization, and data analysis

Specific services, deliverables, and terms will be outlined in individual service agreements or statements of work.

3. User Responsibilities

You agree to:

• Provide accurate and complete information when requested
• Maintain the confidentiality of any account credentials
• Use our services only for lawful purposes
• Not interfere with or disrupt our services or servers
• Not attempt to gain unauthorized access to any systems
• Comply with all applicable laws and regulations

4. Intellectual Property

Our Intellectual Property

All content on our website, including text, graphics, logos, images, software, and methodologies, is the property of Conversion System or our licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

Client Work Product

Ownership of deliverables created during our engagement will be specified in your service agreement. Generally, clients retain ownership of custom solutions built specifically for their business, while we retain ownership of our pre-existing tools, frameworks, and methodologies.

5. Payment Terms

• Payment terms will be specified in your service agreement
• Invoices are due within 30 days unless otherwise agreed
• Late payments may incur interest charges as permitted by law
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise stated in writing

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during our engagement. This includes business strategies, technical information, customer data, and any other information marked as confidential. Confidentiality obligations survive the termination of services.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our liability is limited to the fees paid for the specific services giving rise to the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• We do not guarantee specific business results or outcomes
• Our services are provided "as is" without warranties beyond those expressly stated

8. Indemnification

You agree to indemnify and hold harmless Conversion System, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

9. Termination

Either party may terminate services:

• With 30 days written notice for convenience
• Immediately upon material breach by the other party
• As specified in the applicable service agreement

Upon termination, you remain responsible for any outstanding fees, and certain provisions (confidentiality, intellectual property, limitation of liability) survive.

10. Dispute Resolution

Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Wyoming, and the decision shall be final and binding.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

12. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms, together with any applicable service agreements, constitute the entire agreement between you and Conversion System regarding the subject matter herein and supersede all prior agreements and understandings.
